THE VAULT - MASTER USE LICENSE AGREEMENT

MASTER USE LICENSE
The following are the terms of the license agreement (“License”), between Crimson Muzik Vocalz, LLC (“Licensor”), and the purchaser of this product (“Licensee”).

  1. Master and Additional Elements: The “Master” refers to the master recording, along with any additional elements provided in the download pack, including stems, instrumentals, and a cappella performances.

  2. License Grant: By purchasing this product, Licensee agrees to the following rights, granted by Licensor:

    • The right to use, edit, and reproduce the Master and included elements as part of a Cheer Mix for live performances and recorded live performance submissions (e.g., YouTube or virtual competitions).
    • The right to synchronize the Master with choreography and visuals for cheer or dance performances.
    • The right to use the Master for promoting the Cheer Mix on social media and digital platforms.

  3. Fee: By purchasing the product, Licensee agrees to pay the listed price as the licensing fee.

  4. Term and Territory: The license is valid for 12 months or until June 30th, whichever comes first. The license is valid within the United States only, unless otherwise approved by Licensor in writing.

  5. Limitations: This license covers the use of the Master and included elements solely for cheer mixes. Licensee may not sell, transfer, or use the Master outside of this context without written approval.

  6. Warranties and Indemnification: Licensor guarantees it holds the necessary rights to grant this license. Licensee agrees to use the Master and elements responsibly and indemnify Licensor for any misuse.

  7. Governing Law: This license is governed by the laws of Virginia.
